11   -This is an agreement entered into by and between you (the "Company") and KnowledgeTree and
12   -its subsidiaries ("KT"). This Agreement states the terms and conditions upon which KT offers to
13   -license the KnowledgeTree Commercial Editions software provided in this package together with all
14   -related documentation and accompanying items including, but not limited to, the executable programs,
15   -drivers, libraries and data files associated with such programs (collectively, the "Software").

17   -<p>
18   -<h3>DEFINITIONS</h3>
19   -Accessible Code means source code contained within the Software that is accessible under this
20   -Agreement.
21   -</p>
22   -<p>
23   -Affiliate means a company which is controlled, under common control or controlling the Company
24   -during the period of such control. For the purposes of this Agreement, "control" shall mean ownership,
25   -directly or indirectly, of more than 50% of the shares in the Company (or other voting securities) which
26   -vote for the election of the board of directors or other managing body of the Company.

28   -<p>
29   -End User means an employee, contractor or agent of the Company and its Affiliates authorized by the
30   -Company to use the Software as per the terms of this Agreement.

32   -<p>
33   -OEM Distribution means distribution of the Software as either a bundled add-on to, or embedded
34   -component of, another application with such application being made available to its users as, but not
35   -limited to, an on-premise application, a hosted application, a Software-as-a-Service offering or a
36   -subscription service for which the distributor of the application receives a license fee or any form of
37   -direct or indirect compensation.

40   -Protected Code means source code contained within the Software that is protected against access by
41   -KT and is not accessible under this Agreement.

43   -<p>
44   -Distribution Archive means a software installer package or any other distribution medium commonly
45   -utilized to package and distribute software.

47   -<p>
48   -Customer Service Systems means any online system provided by KT or its service providers to provide
49   -Company with product support, access to the Software, or user licenses, though not limited to these
50   -services.

52   -<p>
53   -Unlimited Use License means a grant of license under this agreement that is not limited to a set
54   -number of End Users, but is limited to one physical server device that the Software may be run on.
55   -Grant of Rights
56   -</p>
57   -<p>
58   -For the term of this Agreement and subject to the Company's payment of the license fees as defined
59   -below KT grants the Company a non-exclusive, non-transferable, non-sublicensable right to use and
60   -modify the Software only for the Company's own internal use and limited to the number of End Users
61   -for which the Company has paid the applicable license fee.
62   -</p>
63   -<p>
64   -<h3>Company's responsibility for End Users</h3>
65   -The Company shall be responsible for any act or omission of all End Users and for their compliance
66   -with all of the terms of this Agreement. Any action or breach by any of the Company's employees,
67   -contractors, agents or Affiliates shall be deemed an action or breach by the Company of this
68   -Agreement and the Company hereby indemnifies and holds KT harmless from any and all such
69   -breaches of this Agreement. The Company waives all of those defenses that the Company may have in
70   -law or otherwise which may be raised to avoid liability should the Company not be liable for its
71   -employees, contractors', agents' or Affiliates' acts, omissions and non-compliance with the terms of this
72   -Agreement.

74   -<p>
75   -<h3>Delivery and acceptance of the Software</h3>
76   -The Software shall be deemed accepted once the Company has successfully downloaded and unpacked
77   -the Distribution Archive.
78   -</p>
79   -<p>
80   -<h3>Restrictions</h3>
81   -The Company shall not, directly or indirectly: (i) remove or alter any copyright, trademark or
82   -proprietary notice in the Software; (ii) transfer, use or export the Software in violation of any laws or
83   -regulations of any government or governmental agency; (iii) reverse engineer, decompile or modify
84   -any protected code which forms part of the Software; (iv) distribute the Software via OEM Distribution
85   -without entering into a separate OEM Distribution Agreement with KT; (v) redistribute the Accessible
86   -or Protected Code; (vi) use and or modify the Software to develop a competitive product; and (vii)
87   -commit any act or omission the likely result of which is that KT's reputation will be brought into
88   -disrepute or which act or omission could reasonably be expected to have or does have a material and
89   -adverse effect on KT's interests.

92   -The Software includes license protection mechanisms that are designed to manage and protect the
93   -intellectual property rights of KT. The Company must not modify or alter those features to try to defeat
94   -the Software use rules that the license protection mechanisms are designed to enforce.
95   -Notwithstanding anything to the contrary in this Agreement, during the period of this Agreement the
96   -Company may continue to use the Software initially provided under this Agreement with the source
97   -code and license key and use differing databases, web servers or operating systems than the database,
98   -web server or operating system initially selected by the Company on installation of the Software at no
99   -charge.

101   -<p>
102   -<h3>Proprietary Rights</h3>
103   -KT and its licensors shall own all right, title, and interest to the Software, technology, information,
104   -code or software provided to Company, including all portions, copies or modifications thereof. Except
105   -as expressly provided herein, no licenses of any kind are granted hereunder, whether by implication,
106   -estoppel, or otherwise.

108   -<p>
109   -<h3>Fees and Payment</h3>
110   -End User Accounts: The Company shall designate an Administrator and notify KT of the identity and
111   -contact information for said Administrator. The Administrator may add End Users to the Company's
112   -subscription for the Software by placing an order with KT. The Company is responsible for all activity
113   -occurring under the Company's End User's accounts. The Company shall notify KT immediately of any
114   -unauthorized use of any password or account that provides Company access to the Customer Service
115   -Systems, or unauthorized copying or distribution of the Software or related proprietary material. End
116   -User accounts cannot be shared or used by more than one individual End User but may be reassigned to
117   -new End Users replacing former End Users.

120   -License fee: The Company shall pay to KT an amount specified on the KnowledgeTree website for the
121   -number of End Users that Company selects. Payment of the license fee shall be due and payable as set
122   -forth in the terms and conditions on the KnowledgeTree website. All fees paid to KT are non-
123   -refundable. The Company will also pay all applicable taxes, including sales, use, personal property,
124   -value-added, excise, customs fees, import duties, stamp duties and any other similar taxes and duties,
125   -including penalties and interest, imposed by any federal, state, provincial or other government entity on
126   -the transactions contemplated by this Agreement.

129   -Records Retention: Unless the company has purchased an Unlimited Use License, the Company shall
130   -maintain accurate records necessary to verify the number of End Users. Upon KT's written request, the
131   -Company shall provide KT with such records within ten (10) days. If the Company has more End
132   -Users than the Company has paid for, the Company shall immediately pay KT an additional license fee
133   -in addition to any costs incurred by KT associated with reviewing such records.

136   -<h3>COPYRIGHT</h3>
137   -KT reserves all rights not expressly granted to you in this EULA. The Software is protected by
138   -copyright and other intellectual property laws and treaties. KT and/or its licensors own the title,
139   -copyright, and other intellectual property rights in the Software. The Software is licensed, not sold. The
140   -Company may not remove the copyright notice from any copy of the Software or any copy of the
141   -written materials, if any, accompanying the Software.

144   -<h3>MERGER OR INTEGRATION</h3>
145   -Should the Company merge any portion of the Software or accessible code into, or integrate any
146   -portion of the Software or accessible code with, any other program or code, any portion of the Software
147   -or accessible code merged into or integrated with another program, if any, will continue to be subject to
148   -the terms and conditions of this Agreement, and the Company must reproduce on the merged or
149   -integrated portion all copyright and other proprietary rights notices included in the originals of the
150   -Software or accessible code.

153   -<h3>TRANSFER OF LICENSE</h3>
154   -The Company may not transfer its license in terms of this Agreement to any external third parties.

157   -<h3>LIMITATIONS ON USING, COPYING, AND MODIFYING THE SOFTWARE</h3>
158   -Except to the extent expressly permitted by this Agreement or by the laws of the jurisdiction where the
159   -Company acquired the Software, it may not use, copy or modify the Software. Nor may the Company
160   -sub-license any of its rights under this Agreement.

162   -<p>
163   -<h3>DECOMPILING, DISASSEMBLING, OR REVERSE ENGINEERING</h3>
164   -The Company acknowledges that the Software contains trade secrets and other proprietary information
165   -of KT and its licensors. Except to the extent expressly permitted by this Agreement or by the laws of
166   -the jurisdiction where the Company is located, it may not decompile, disassemble or otherwise reverse
167   -engineer the Software, or engage in any other activities to obtain underlying information that is not
168   -visible to the user in connection with the normal use of the Software.

171   -In particular, the Company agrees not for any purpose to transmit the Software or display the
172   -Software's object code on any computer screen or to make any hardcopy memory dumps of the
173   -Software's object code. If the Company believes that it requires information related to the
174   -interoperability of the Software with other programs, it shall not decompile or disassemble the
175   -Software to obtain such information, and it agrees to request such information from KT at the address
176   -listed below. Upon receiving such a request, KT shall determine whether the Company requires such
177   -information for a legitimate purpose and, if so, KT will provide such information to the Company
178   -within a reasonable time and on reasonable conditions.

181   -In any event, the Company will notify KT of any information derived from reverse engineering or such
182   -other activities, and the results thereof will constitute the confidential information of KT that may be
183   -used only in connection with the Software.

186   -<h3>DURATION AND TERMINATION</h3>
187   -The license granted to the Company is effective for 1 (ONE) year. The license will also terminate
188   -automatically without any notice from KT if the Company fails to comply with any term or condition
189   -of this Agreement. Upon termination, KT may also enforce any rights provided by law. The provisions
190   -of this Agreement that protect the proprietary rights of KT will continue in force after termination.

192   -<p>
193   -<h3>SOFTWARE MAINTENANCE</h3>
194   -Software Maintenance includes KT's provisioning to the Company of updates and/or enhancements of
195   -the Software made generally available to customers from time to time, and online technical support
196   -(and where applicable, phone support) to one Company-designated technical contact for the sole
197   -purpose of addressing technical issues relating to the use of the Software (excluding any form of on-
198   -site visits by KT personnel or contractors).

201   -<h3>DISCLAIMER OF ANY WARRANTY</h3>
202   -KT does not warrant that the functions contained in the Software will meet the Company's
203   -requirements or that the operation of the Software will be correct, uninterrupted or error-free. KT
204   -provides evaluation copies of the Product so that customers can assess the Product.

206   -<p>
207   -THE SOFTWARE IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER
208   -EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES
209   -OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, TITLE OR
210   -NONINFRINGEMENT.

213   -The Company assumes responsibility for the support and fault-finding of any modifications made to
214   -the Software, or merger and integration undertaken with or between any other program or code.
215   -The Company assumes full responsibility for the selection of the Software to achieve its intended
216   -results, and for the installation, use and results obtained from the Software. The Company also assumes
217   -the entire risk as it applies to the quality and performance of the Software. Should the Software prove
218   -defective, the Company (and not KT, or its distributors or dealers) assumes the entire cost of any and
219   -all necessary servicing, repair or correction.

222   -Some countries/states do not allow the exclusion of implied warranties, so the above exclusion may not
223   -apply to the Company. KT disclaims all warranties of any kind if the Software was customized,
224   -repackaged or altered in any way by any third party other than KT.

227   -<h3>INFRINGEMENT</h3>
228   -During any term of this Agreement, if any portion of the Software is held by a court of competent
229   -jurisdiction to infringe any third party intellectual property rights and the Company incurs a liability or
230   -expense as a result of such holding, then the Company's sole remedy shall be, and KT will, at its
231   -option: (i) obtain the right for the Company to continue to use the Software consistent with this
232   -Agreement; (ii) modify the Software so that it is non-infringing; or (iii) replace the infringing
233   -component with a non-infringing component, or (iv) refund all money paid in the then-current calendar
234   -quarter under this Agreement and all of the Company's rights and licenses under this Agreement shall
235   -automatically terminate.

238   -<h3>PUBLICITY RIGHTS</h3>

240   -<li>a. The Company grants KT the right to include the Company as a customer in promotional
241   -material for the Software or for KT.</li>
242   -<li>b. The Company can deny KT this right by submitting a written request via e-mail to
243   -marketing@knowledgetree.com requesting to be excluded from such promotional material.
244   -Confirmation of such denial (via reply e-mail) must be received prior to purchasing for this to
245   -be effective.</li>
246   -<li>c. Should the Company come to be or already be included in promotional material, as a result of
247   -any prior purchases where the Company did not request exclusion from the promotional
248   -material, the Company can at any point, submit a written request via e-mail to
249   -marketing@knowledgetree.com to have KT remove the Company's name from the
250   -promotional material. Upon receipt of such request, KT will remove any reference to the
251   -Company from such promotional material within 30 days and make no further reference to the
252   -Company.</li>

256   -During any term of this Agreement, the Company grants to KT a non-transferable, non-exclusive,
257   -license to reproduce and display its logos, trademarks, trade names and similar identifying material so
258   -that KT may refer to the Company as a user of the Software should KT so desire, such as on the KT
259   -website, in press releases and in other marketing materials.

262   -<h3>INDEMNIFICATION</h3>
263   -If the Company distributes the Software in violation of this Agreement, it hereby indemnifies, hold
264   -harmless and defends KT from and against any and all claims or lawsuits, including attorney's fees and
265   -costs that arise, result from or are connected with the use or distribution of the Software in violation of
266   -this Agreement.

269   -<h3>LIMITATION OF REMEDIES AND DAMAGES</h3>
270   -In no event will KT or its licensors be liable for any indirect, incidental, special or consequential
271   -damages, or for any personal injury or bodily injury (including death) to any persons caused by KT's
272   -negligence, or for any lost profits, lost savings, loss of use, lost revenues or lost data arising from or
273   -relating to the Software or this Agreement, even if KT or its licensors have been advised of the
274   -possibility of such damages. In no event will KT's liability or damages to the Company or any other
275   -person ever exceed the amount paid by the Company to use the Software, regardless of the form of the
276   -claim.

279   -Some countries/states do not allow the limitation or exclusion of liability for incidental or
280   -consequential damages, so the above limitation or exclusion may not apply to the Company.

283   -<h3>GOVERNMENT RESTRICTED RIGHTS</h3>
284   -Programs delivered to the U.S. Defense Dept. are delivered with Restricted Rights and the following
285   -applies: "Restricted Rights Legend: Use, duplication or disclosure by Government is subject to
286   -restrictions as currently set forth in subparagraph (c)(1)(ii) of DFARS 252-227-7013, Rights in
287   -Technical Data and Computer Software (October 1988). Software manufacturer is KnowledgeTree

303   -This Agreement is binding on the Company as well as its employees, employers, contractors and
304   -agents, and on any successors and assignees. Neither the Software nor any information derived
305   -therefrom may be exported except in accordance with the laws of the State of Delaware or other
306   -applicable provisions. This Agreement is governed by the laws of the State of Delaware. This
307   -Agreement is the entire agreement between KT and the Company and the Company agrees that KT will
308   -not have any liability for any untrue statement or representation made by it, its agents or anyone else
309   -(whether innocently or negligently) upon which the Company relied upon entering this Agreement,
310   -unless such untrue statement or representation was made fraudulently. This Agreement supersedes any
311   -other understandings or agreements, including, but not limited to, advertising, with respect to the
312   -Software. If any provision of this Agreement is deemed invalid or unenforceable by any country or
313   -government agency having jurisdiction, that particular provision will be deemed modified to the extent
314   -necessary to make the provision valid and enforceable, and the remaining provisions will remain in full
315   -force and effect. The original of this Agreement has been written in English, and that version will
316   -govern.

  143 +
  144 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Accessible
  145 +Code </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  146 +source code contained within the Software that is accessible under this
  147 +Agreement. </span></p>
  148 +
  149 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Affiliate</span></i><span
  150 +lang=EN-US style='font-family:"Times New Roman","serif"'> means a company which
  151 +is controlled, under common control or controlling the Company during the
  152 +period of such control. For the purposes of this Agreement, &quot;control&quot;
  153 +shall mean ownership, directly or indirectly, of more than 50% of the shares in
  154 +the Company (or other voting securities) which vote for the election of the
  155 +board of directors or other managing body of the Company. </span></p>
  156 +
  157 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>End User</span></i><span
  158 +lang=EN-US style='font-family:"Times New Roman","serif"'> means an employee,
  159 +contractor or agent of the Company and its Affiliates authorized by the Company
  160 +to use the Software as per the terms of this Agreement. </span></p>
  161 +
  162 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>OEM
  163 +Distribution </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  164 +distribution of the Software as either a bundled add-on to, or embedded
  165 +component of, another application with such application being made available to
  166 +its users as, but not limited to, an on-premise application, a hosted
  167 +application, a Software-as-a-Service offering or a subscription service for
  168 +which the distributor of the application receives a license fee or any form of
  169 +direct or indirect compensation. </span></p>
  170 +
  171 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Protected
  172 +Code </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  173 +source code contained within the Software that is protected against access by
  174 +KT and is not accessible under this Agreement. </span></p>
  175 +
  176 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Distribution
  177 +Archive </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  178 +a software installer package or any other distribution medium commonly utilized
  179 +to package and distribute software.</span></p>
  180 +
  181 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Customer
  182 +Service Systems</span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  183 +means any online system provided by KT or its service providers to provide
  184 +Company with product support, access to the Software, or user licenses, though
  185 +not limited to these services.</span></p>
  186 +
  187 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Grant of
  188 +Rights</span></b></p>
  189 +
  190 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>For the term
  191 +of this Agreement and subject to the Company's payment of the license fees as
  192 +defined below KT grants the Company a non-exclusive, non-transferable,
  193 +non-sublicensable right to use and modify the Software only for the Company's
  194 +own internal use and limited to the number of End Users for which the Company
  195 +has paid the applicable license fee. </span></p>
  196 +
  197 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Company’s
  198 +responsibility for End Users </span></b></p>
  199 +
  200 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  201 +shall be responsible for any act or omission of all End Users and for their
  202 +compliance with all of the terms of this Agreement. Any action or breach by any
  203 +of the Company's employees, contractors, agents or Affiliates shall be deemed
  204 +an action or breach by the Company of this Agreement and the Company hereby
  205 +indemnifies and holds KT harmless from any and all such breaches of this
  206 +Agreement. The Company waives all of those defenses that the Company may have
  207 +in law or otherwise which may be raised to avoid liability should the Company
  208 +not be liable for its employees, contractors', agents' or Affiliates' acts,
  209 +omissions and non-compliance with the terms of this Agreement. </span></p>
  210 +
  211 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Delivery
  212 +and acceptance of the Software </span></b></p>
  213 +
  214 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Software
  215 +shall be deemed accepted once the Company has successfully downloaded and
  216 +unpacked the Distribution Archive. </span></p>
  217 +
  218 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Restrictions</span></b><span
  219 +lang=EN-US style='font-family:"Times New Roman","serif"'> </span></p>
  220 +
  221 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  222 +shall not, directly or indirectly: (i) remove or alter any copyright, trademark
  223 +or proprietary notice in the Software; (ii) transfer, use or export the
  224 +Software in violation of any laws or regulations of any government or
  225 +governmental agency; (iii) reverse engineer, decompile or modify any protected
  226 +code which forms part of the Software; (iv) distribute the Software via OEM
  227 +Distribution without entering into a separate OEM Distribution Agreement with
  228 +KT; (v) redistribute the Accessible or Protected Code; (vi) use and or modify
  229 +the Software to develop a competitive product; and (vii) commit any act or
  230 +omission the likely result of which is that KT’s reputation will be brought
  231 +into disrepute or which act or omission could reasonably be expected to have or
  232 +does have a material and adverse effect on KT’s interests. </span></p>
  233 +
  234 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Software
  235 +includes license protection mechanisms that are designed to manage and protect
  236 +the intellectual property rights of KT. The Company must not modify or alter
  237 +those features to try to defeat the Software use rules that the license protection
  238 +mechanisms are designed to enforce. </span></p>
  239 +
  240 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Notwithstanding
  241 +anything to the contrary in this Agreement, during the period of this Agreement
  242 +the Company may continue to use the Software initially provided under this
  243 +Agreement with the source code and license key and use differing databases, web
  244 +servers or operating systems than the database, web server or operating system
  245 +initially selected by the Company on installation of the Software at no charge.
  246 +</span></p>
  247 +
  248 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Proprietary
  249 +Rights</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  250 +</span></p>
  251 +
  252 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT and its
  253 +licensors shall own all right, title, and interest to the Software, technology,
  254 +information, code or software provided to Company, including all portions,
  255 +copies or modifications thereof. Except as expressly provided herein, no
  256 +licenses of any kind are granted hereunder, whether by implication, estoppel,
  257 +or otherwise. </span></p>
  258 +
  259 +<h4><span lang=EN-US style='font-family:"Times New Roman","serif"'>Fees and
  260 +Payment</span></h4>
  261 +
  262 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>End User
  263 +Accounts:</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  264 +The Company shall designate an Administrator and notify KT of the identity and
  265 +contact information for said Administrator. The Administrator may add End Users
  266 +to the Company's subscription for the Software by placing an order with KT. The
  267 +Company is responsible for all activity occurring under the Company's End
  268 +User's accounts. The Company shall notify KT immediately of any unauthorized
  269 +use of any password or account that provides Company access to the Customer
  270 +Service Systems, or unauthorized copying or distribution of the Software or
  271 +related proprietary material. End User accounts cannot be shared or used by
  272 +more than one individual End User but may be reassigned to new End Users replacing
  273 +former End Users. </span></p>
  274 +
  275 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>License
  276 +fee: </span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>The<b>
  277 +</b>Company shall pay to KT an amount specified on the KnowledgeTree website
  278 +for the number of End Users that Company selects. Payment of the license fee
  279 +shall be due and payable as set forth in the terms and conditions on the
  280 +KnowledgeTree website. All fees paid to KT are non-refundable. The Company will
  281 +also pay all applicable taxes, including sales, use, personal property,
  282 +value-added, excise, customs fees, import duties, stamp duties and any other
  283 +similar taxes and duties, including penalties and interest, imposed by any
  284 +federal, state, provincial or other government entity on the transactions
  285 +contemplated by this Agreement. </span></p>
  286 +
  287 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Records
  288 +Retention: </span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Unless
  289 +the company has purchased an Unlimited Use License, the<b> </b>Company shall
  290 +maintain accurate records necessary to verify the number of End Users. Upon
  291 +KT's written request, the Company shall provide KT with such records within ten
  292 +(10) days. If the Company has more End Users than the Company has paid for, the
  293 +Company shall immediately pay KT an additional license fee in addition to any
  294 +costs incurred by KT associated with reviewing such records. </span></p>
  295 +
  296 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>COPYRIGHT</span></b><span
  297 +lang=EN-US style='font-family:"Times New Roman","serif"'> </span></p>
  298 +
  299 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT reserves
  300 +all rights not expressly granted to you in this EULA. The Software is protected
  301 +by copyright and other intellectual property laws and treaties. KT and/or its
  302 +licensors own the title, copyright, and other intellectual property rights in
  303 +the Software. The Software is licensed, not sold. The Company may not remove
  304 +the copyright notice from any copy of the Software or any copy of the written
  305 +materials, if any, accompanying the Software. </span></p>
  306 +
  307 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>MERGER OR
  308 +INTEGRATION </span></b></p>
  309 +
  310 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Should the
  311 +Company merge any portion of the Software or accessible code into, or integrate
  312 +any portion of the Software or accessible code with, any other program or code,
  313 +any portion of the Software or accessible code merged into or integrated with
  314 +another program, if any, will continue to be subject to the terms and
  315 +conditions of this Agreement, and the Company must reproduce on the merged or
  316 +integrated portion all copyright and other proprietary rights notices included
  317 +in the originals of the Software or accessible code. </span></p>
  318 +
  319 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>TRANSFER
  320 +OF LICENSE</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  321 +</span></p>
  322 +
  323 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  324 +may not transfer its license in terms of this Agreement to any external third
  325 +parties. </span></p>
  326 +
  327 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>LIMITATIONS
  328 +ON USING, COPYING, AND MODIFYING THE SOFTWARE </span></b></p>
  329 +
  330 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Except to the
  331 +extent expressly permitted by this Agreement or by the laws of the jurisdiction
  332 +where the Company acquired the Software, it may not use, copy or modify the
  333 +Software. Nor may the Company sub-license any of its rights under this
  334 +Agreement. </span></p>
  335 +
  336 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DECOMPILING,
  337 +DISASSEMBLING, OR REVERSE ENGINEERING </span></b></p>
  338 +
  339 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  340 +acknowledges that the Software contains trade secrets and other proprietary
  341 +information of KT and its licensors. Except to the extent expressly permitted
  342 +by this Agreement or by the laws of the jurisdiction where the Company is
  343 +located, it may not decompile, disassemble or otherwise reverse engineer the
  344 +Software, or engage in any other activities to obtain underlying information
  345 +that is not visible to the user in connection with the normal use of the
  346 +Software. </span></p>
  347 +
  348 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'><br>
  349 +In particular, the Company agrees not for any purpose to transmit the Software
  350 +or display the Software's object code on any computer screen or to make any
  351 +hardcopy memory dumps of the Software's object code. If the Company believes
  352 +that it requires information related to the interoperability of the Software
  353 +with other programs, it shall not decompile or disassemble the Software to
  354 +obtain such information, and it agrees to request such information from KT at
  355 +the address listed below. Upon receiving such a request, KT shall determine
  356 +whether the Company requires such information for a legitimate purpose and, if
  357 +so, KT will provide such information to the Company within a reasonable time
  358 +and on reasonable conditions. </span></p>
  359 +
  360 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'><br>
  361 +In any event, the Company will notify KT of any information derived from
  362 +reverse engineering or such other activities, and the results thereof will
  363 +constitute the confidential information of KT that may be used only in
  364 +connection with the Software. </span></p>
  365 +
  366 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DURATION
  367 +AND TERMINATION </span></b></p>
  368 +
  369 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The license
  370 +granted to the Company is effective for 1 (ONE) year. The license will also
  371 +terminate automatically without any notice from KT if the Company fails to
  372 +comply with any term or condition of this Agreement. Upon termination, KT may
  373 +also enforce any rights provided by law. The provisions of this Agreement that
  374 +protect the proprietary rights of KT will continue in force after termination.</span></p>
  375 +
  376 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>SOFTWARE
  377 +MAINTENANCE  </span></b></p>
  378 +
  379 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Software
  380 +Maintenance includes KT’s provisioning to the Company of updates and/or
  381 +enhancements of the Software made generally available to customers from time to
  382 +time, and online technical support (and where applicable, phone support) to one
  383 +Company-designated technical contact for the sole purpose of addressing
  384 +technical issues relating to the use of the Software (excluding any form of
  385 +on-site visits by KT personnel or contractors). KT will make commercially
  386 +reasonable best efforts to remedy defective code and to release these fixes as
  387 +updates according to KT's product roadmap.</span></p>
  388 +
  389 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DISCLAIMER
  390 +OF ANY WARRANTY</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  391 +</span></p>
  392 +
  393 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT does not
  394 +warrant that the functions contained in the Software will meet the Company’s
  395 +requirements or that the operation of the Software will be correct, uninterrupted
  396 +or error-free. KT provides evaluation copies of the Product so that customers
  397 +can assess the Product. </span></p>
  398 +
  399 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>THE SOFTWARE
  400 +IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  401 +INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR
  402 +FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. </span></p>
  403 +
  404 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  405 +assumes responsibility for the support and fault-finding of any modifications
  406 +made to the Software, or merger and integration undertaken with or between any
  407 +other program or code. </span></p>
  408 +
  409 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  410 +assumes full responsibility for the selection of the Software to achieve its
  411 +intended results, and for the installation, use and results obtained from the
  412 +Software. The Company also assumes the entire risk as it applies to the quality
  413 +and performance of the Software. Should the Software prove defective, the
  414 +Company (and not KT, or its distributors or dealers) assumes the entire cost of
  415 +any and all necessary servicing, repair or correction. </span></p>
  416 +
  417 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Some
  418 +countries/states do not allow the exclusion of implied warranties, so the above
  419 +exclusion may not apply to the Company. KT disclaims all warranties of any kind
  420 +if the Software was customized, repackaged or altered in any way by any third
  421 +party other than KT. </span></p>
  422 +
  423 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>INFRINGEMENT
  424 +</span></b></p>
  425 +
  426 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>During any
  427 +term of this Agreement, if any portion of the Software is held by a court of
  428 +competent jurisdiction to infringe any third party intellectual property rights
  429 +and the Company incurs a liability or expense as a result of such holding, then
  430 +the Company’s sole remedy shall be, and KT will, at its option: (i) obtain the
  431 +right for the Company to continue to use the Software consistent with this
  432 +Agreement; (ii) modify the Software so that it is non-infringing; or (iii)
  433 +replace the infringing component with a non-infringing component, or (iv) refund
  434 +all money paid in the then-current calendar quarter under this Agreement and
  435 +all of the Company’s rights and licenses under this Agreement shall
  436 +automatically terminate. </span></p>
  437 +
  438 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>PUBLICITY
  439 +RIGHTS</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  440 +</span></p>
  441 +

  478 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>During any
  479 +term of this Agreement, the Company grants to KT a non-transferable,
  480 +non-exclusive, license to reproduce and display its logos, trademarks, trade
  481 +names and similar identifying material so that KT may refer to the Company as a
  482 +user of the Software should KT so desire, such as on the KT website, in press
  483 +releases and in other marketing materials. </span></p>
  484 +
  485 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>INDEMNIFICATION
  486 +</span></b></p>
  487 +
  488 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>If the
  489 +Company distributes the Software in violation of this Agreement, it hereby
  490 +indemnifies, hold harmless and defends KT from and against any and all claims
  491 +or lawsuits, including attorney's fees and costs that arise, result from or are
  492 +connected with the use or distribution of the Software in violation of this
  493 +Agreement. </span></p>
  494 +
  495 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>LIMITATION
  496 +OF REMEDIES AND DAMAGES </span></b></p>
  497 +
  498 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>In no event
  499 +will KT or its licensors be liable for any indirect, incidental, special or
  500 +consequential damages, or for any personal injury or bodily injury (including
  501 +death) to any persons caused by KT's negligence, or for any lost profits, lost
  502 +savings, loss of use, lost revenues or lost data arising from or relating to
  503 +the Software or this Agreement, even if KT or its licensors have been advised
  504 +of the possibility of such damages. In no event will KT’s liability or damages
  505 +to the Company or any other person ever exceed the amount paid by the Company
  506 +to use the Software, regardless of the form of the claim. </span></p>
  507 +
  508 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Some
  509 +countries/states do not allow the limitation or exclusion of liability for
  510 +incidental or consequential damages, so the above limitation or exclusion may
  511 +not apply to the Company. </span></p>
  512 +
  513 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>GOVERNMENT
  514 +RESTRICTED RIGHTS</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  515 +</span></p>
  516 +
  517 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Programs
  518 +delivered to the U.S. Defense Dept. are delivered with Restricted Rights and
