  113 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>PLEASE
  114 +READ THIS DOCUMENT CAREFULLY BEFORE INSTALLING THE SOFTWARE. BY INSTALLING AND
  115 +USING THE SOFTWARE, YOU AGREE ON BEHALF OF THE ENTITY LICENSING THE SOFTWARE
  116 +AND WHO IS BECOMING A PARTY TO THIS LICENSE AGREEMENT (“THE COMPANY”) TO BE
  117 +BOUND BY THE TERMS OF THIS AGREEMENT AND THAT YOU HAVE THE NECESSARY AUTHORITY
  118 +TO BIND THE COMPANY TO THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THE
  119 +AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE. </span></b></p>
  120 +
  121 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>This is an
  122 +agreement entered into by and between you (the “Company”) and <b>KnowledgeTree
  123 +Inc. </b>and its subsidiaries (“KT”). This Agreement states the terms and
  124 +conditions upon which KT offers to license the KnowledgeTree Commercial
  125 +Editions software provided in this package together with all related
  126 +documentation and accompanying items including, but not limited to, the
  127 +executable programs, drivers, libraries and data files associated with such
  128 +programs (collectively, the “Software”). </span></p>
  129 +
  130 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DEFINITIONS</span></b><span
  131 +lang=EN-US style='font-family:"Times New Roman","serif"'> </span></p>
  132 +
  133 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Accessible
  134 +Code </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  135 +source code contained within the Software that is accessible under this
  136 +Agreement. </span></p>
  137 +
  138 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Affiliate</span></i><span
  139 +lang=EN-US style='font-family:"Times New Roman","serif"'> means a company which
  140 +is controlled, under common control or controlling the Company during the
  141 +period of such control. For the purposes of this Agreement, &quot;control&quot;
  142 +shall mean ownership, directly or indirectly, of more than 50% of the shares in
  143 +the Company (or other voting securities) which vote for the election of the
  144 +board of directors or other managing body of the Company. </span></p>
  145 +
  146 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>End User</span></i><span
  147 +lang=EN-US style='font-family:"Times New Roman","serif"'> means an employee,
  148 +contractor or agent of the Company and its Affiliates authorized by the Company
  149 +to use the Software as per the terms of this Agreement. </span></p>
  150 +
  151 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>OEM
  152 +Distribution </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  153 +distribution of the Software as either a bundled add-on to, or embedded
  154 +component of, another application with such application being made available to
  155 +its users as, but not limited to, an on-premise application, a hosted
  156 +application, a Software-as-a-Service offering or a subscription service for
  157 +which the distributor of the application receives a license fee or any form of
  158 +direct or indirect compensation. </span></p>
  159 +
  160 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Protected
  161 +Code </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  162 +source code contained within the Software that is protected against access by
  163 +KT and is not accessible under this Agreement. </span></p>
  164 +
  165 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Distribution
  166 +Archive </span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>means
  167 +a software installer package or any other distribution medium commonly utilized
  168 +to package and distribute software.</span></p>
  169 +
  170 +<p><i><span lang=EN-US style='font-family:"Times New Roman","serif"'>Customer
  171 +Service Systems</span></i><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  172 +means any online system provided by KT or its service providers to provide
  173 +Company with product support, access to the Software, or user licenses, though
  174 +not limited to these services.</span></p>
  175 +
  176 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Grant of
  177 +Rights</span></b></p>
  178 +
  179 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>For the term
  180 +of this Agreement and subject to the Company's payment of the license fees as
  181 +defined below KT grants the Company a non-exclusive, non-transferable,
  182 +non-sublicensable right to use and modify the Software only for the Company's
  183 +own internal use and limited to the number of End Users for which the Company
  184 +has paid the applicable license fee. </span></p>
  185 +
  186 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Company’s
  187 +responsibility for End Users </span></b></p>
  188 +
  189 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  190 +shall be responsible for any act or omission of all End Users and for their
  191 +compliance with all of the terms of this Agreement. Any action or breach by any
  192 +of the Company's employees, contractors, agents or Affiliates shall be deemed
  193 +an action or breach by the Company of this Agreement and the Company hereby
  194 +indemnifies and holds KT harmless from any and all such breaches of this
  195 +Agreement. The Company waives all of those defenses that the Company may have
  196 +in law or otherwise which may be raised to avoid liability should the Company
  197 +not be liable for its employees, contractors', agents' or Affiliates' acts,
  198 +omissions and non-compliance with the terms of this Agreement. </span></p>
  199 +
  200 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Delivery
  201 +and acceptance of the Software </span></b></p>
  202 +
  203 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Software
  204 +shall be deemed accepted once the Company has successfully downloaded and
  205 +unpacked the Distribution Archive. </span></p>
  206 +
  207 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Restrictions</span></b><span
  208 +lang=EN-US style='font-family:"Times New Roman","serif"'> </span></p>
  209 +
  210 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  211 +shall not, directly or indirectly: (i) remove or alter any copyright, trademark
  212 +or proprietary notice in the Software; (ii) transfer, use or export the
  213 +Software in violation of any laws or regulations of any government or
  214 +governmental agency; (iii) reverse engineer, decompile or modify any protected
  215 +code which forms part of the Software; (iv) distribute the Software via OEM
  216 +Distribution without entering into a separate OEM Distribution Agreement with
  217 +KT; (v) redistribute the Accessible or Protected Code; (vi) use and or modify
  218 +the Software to develop a competitive product; and (vii) commit any act or
  219 +omission the likely result of which is that KT’s reputation will be brought
  220 +into disrepute or which act or omission could reasonably be expected to have or
  221 +does have a material and adverse effect on KT’s interests. </span></p>
  222 +
  223 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Software
  224 +includes license protection mechanisms that are designed to manage and protect
  225 +the intellectual property rights of KT. The Company must not modify or alter
  226 +those features to try to defeat the Software use rules that the license protection
  227 +mechanisms are designed to enforce. </span></p>
  228 +
  229 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Notwithstanding
  230 +anything to the contrary in this Agreement, during the period of this Agreement
  231 +the Company may continue to use the Software initially provided under this
  232 +Agreement with the source code and license key and use differing databases, web
  233 +servers or operating systems than the database, web server or operating system
  234 +initially selected by the Company on installation of the Software at no charge.
  235 +</span></p>
  236 +
  237 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Proprietary
  238 +Rights</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  239 +</span></p>
  240 +
  241 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT and its
  242 +licensors shall own all right, title, and interest to the Software, technology,
  243 +information, code or software provided to Company, including all portions,
  244 +copies or modifications thereof. Except as expressly provided herein, no
  245 +licenses of any kind are granted hereunder, whether by implication, estoppel,
  246 +or otherwise. </span></p>
  247 +
  248 +<h4><span lang=EN-US style='font-family:"Times New Roman","serif"'>Fees and
  249 +Payment</span></h4>
  250 +
  251 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>End User
  252 +Accounts:</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  253 +The Company shall designate an Administrator and notify KT of the identity and
  254 +contact information for said Administrator. The Administrator may add End Users
  255 +to the Company's subscription for the Software by placing an order with KT. The
  256 +Company is responsible for all activity occurring under the Company's End
  257 +User's accounts. The Company shall notify KT immediately of any unauthorized
  258 +use of any password or account that provides Company access to the Customer
  259 +Service Systems, or unauthorized copying or distribution of the Software or
  260 +related proprietary material. End User accounts cannot be shared or used by
  261 +more than one individual End User but may be reassigned to new End Users replacing
  262 +former End Users. </span></p>
  263 +
  264 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>License
  265 +fee: </span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>The<b>
  266 +</b>Company shall pay to KT an amount specified on the KnowledgeTree website
  267 +for the number of End Users that Company selects. Payment of the license fee
  268 +shall be due and payable as set forth in the terms and conditions on the
  269 +KnowledgeTree website. All fees paid to KT are non-refundable. The Company will
  270 +also pay all applicable taxes, including sales, use, personal property,
  271 +value-added, excise, customs fees, import duties, stamp duties and any other
  272 +similar taxes and duties, including penalties and interest, imposed by any
  273 +federal, state, provincial or other government entity on the transactions
  274 +contemplated by this Agreement. </span></p>
  275 +
  276 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Records
  277 +Retention: </span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>Unless
  278 +the company has purchased an Unlimited Use License, the<b> </b>Company shall
  279 +maintain accurate records necessary to verify the number of End Users. Upon
  280 +KT's written request, the Company shall provide KT with such records within ten
  281 +(10) days. If the Company has more End Users than the Company has paid for, the
  282 +Company shall immediately pay KT an additional license fee in addition to any
  283 +costs incurred by KT associated with reviewing such records. </span></p>
  284 +
  285 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>COPYRIGHT</span></b><span
  286 +lang=EN-US style='font-family:"Times New Roman","serif"'> </span></p>
  287 +
  288 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT reserves
  289 +all rights not expressly granted to you in this EULA. The Software is protected
  290 +by copyright and other intellectual property laws and treaties. KT and/or its
  291 +licensors own the title, copyright, and other intellectual property rights in
  292 +the Software. The Software is licensed, not sold. The Company may not remove
  293 +the copyright notice from any copy of the Software or any copy of the written
  294 +materials, if any, accompanying the Software. </span></p>
  295 +
  296 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>MERGER OR
  297 +INTEGRATION </span></b></p>
  298 +
  299 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Should the
  300 +Company merge any portion of the Software or accessible code into, or integrate
  301 +any portion of the Software or accessible code with, any other program or code,
  302 +any portion of the Software or accessible code merged into or integrated with
  303 +another program, if any, will continue to be subject to the terms and
  304 +conditions of this Agreement, and the Company must reproduce on the merged or
  305 +integrated portion all copyright and other proprietary rights notices included
  306 +in the originals of the Software or accessible code. </span></p>
  307 +
  308 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>TRANSFER
  309 +OF LICENSE</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  310 +</span></p>
  311 +
  312 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  313 +may not transfer its license in terms of this Agreement to any external third
  314 +parties. </span></p>
  315 +
  316 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>LIMITATIONS
  317 +ON USING, COPYING, AND MODIFYING THE SOFTWARE </span></b></p>
  318 +
  319 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Except to the
  320 +extent expressly permitted by this Agreement or by the laws of the jurisdiction
  321 +where the Company acquired the Software, it may not use, copy or modify the
  322 +Software. Nor may the Company sub-license any of its rights under this
  323 +Agreement. </span></p>
  324 +
  325 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DECOMPILING,
  326 +DISASSEMBLING, OR REVERSE ENGINEERING </span></b></p>
  327 +
  328 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  329 +acknowledges that the Software contains trade secrets and other proprietary
  330 +information of KT and its licensors. Except to the extent expressly permitted
  331 +by this Agreement or by the laws of the jurisdiction where the Company is
  332 +located, it may not decompile, disassemble or otherwise reverse engineer the
  333 +Software, or engage in any other activities to obtain underlying information
  334 +that is not visible to the user in connection with the normal use of the
  335 +Software. </span></p>
  336 +
  337 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'><br>
  338 +In particular, the Company agrees not for any purpose to transmit the Software
  339 +or display the Software's object code on any computer screen or to make any
  340 +hardcopy memory dumps of the Software's object code. If the Company believes
  341 +that it requires information related to the interoperability of the Software
  342 +with other programs, it shall not decompile or disassemble the Software to
  343 +obtain such information, and it agrees to request such information from KT at
  344 +the address listed below. Upon receiving such a request, KT shall determine
  345 +whether the Company requires such information for a legitimate purpose and, if
  346 +so, KT will provide such information to the Company within a reasonable time
  347 +and on reasonable conditions. </span></p>
  348 +
  349 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'><br>
  350 +In any event, the Company will notify KT of any information derived from
  351 +reverse engineering or such other activities, and the results thereof will
  352 +constitute the confidential information of KT that may be used only in
  353 +connection with the Software. </span></p>
  354 +
  355 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DURATION
  356 +AND TERMINATION </span></b></p>
  357 +
  358 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The license
  359 +granted to the Company is effective for 1 (ONE) year. The license will also
  360 +terminate automatically without any notice from KT if the Company fails to
  361 +comply with any term or condition of this Agreement. Upon termination, KT may
  362 +also enforce any rights provided by law. The provisions of this Agreement that
  363 +protect the proprietary rights of KT will continue in force after termination.</span></p>
  364 +
  365 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>SOFTWARE
  366 +MAINTENANCE  </span></b></p>
  367 +
  368 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Software
  369 +Maintenance includes KT’s provisioning to the Company of updates and/or
  370 +enhancements of the Software made generally available to customers from time to
  371 +time, and online technical support (and where applicable, phone support) to one
  372 +Company-designated technical contact for the sole purpose of addressing
  373 +technical issues relating to the use of the Software (excluding any form of
  374 +on-site visits by KT personnel or contractors). KT will make commercially
  375 +reasonable best efforts to remedy defective code and to release these fixes as
  376 +updates according to KT's product roadmap.</span></p>
  377 +
  378 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>DISCLAIMER
  379 +OF ANY WARRANTY</span></b><span lang=EN-US style='font-family:"Times New Roman","serif"'>
  380 +</span></p>
  381 +
  382 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>KT does not
  383 +warrant that the functions contained in the Software will meet the Company’s
  384 +requirements or that the operation of the Software will be correct, uninterrupted
  385 +or error-free. KT provides evaluation copies of the Product so that customers
  386 +can assess the Product. </span></p>
  387 +
  388 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>THE SOFTWARE
  389 +IS PROVIDED AS-IS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  390 +INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR
  391 +FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NONINFRINGEMENT. </span></p>
  392 +
  393 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  394 +assumes responsibility for the support and fault-finding of any modifications
  395 +made to the Software, or merger and integration undertaken with or between any
  396 +other program or code. </span></p>
  397 +
  398 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>The Company
  399 +assumes full responsibility for the selection of the Software to achieve its
  400 +intended results, and for the installation, use and results obtained from the
  401 +Software. The Company also assumes the entire risk as it applies to the quality
  402 +and performance of the Software. Should the Software prove defective, the
  403 +Company (and not KT, or its distributors or dealers) assumes the entire cost of
  404 +any and all necessary servicing, repair or correction. </span></p>
  405 +
  406 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>Some
  407 +countries/states do not allow the exclusion of implied warranties, so the above
  408 +exclusion may not apply to the Company. KT disclaims all warranties of any kind
  409 +if the Software was customized, repackaged or altered in any way by any third
  410 +party other than KT. </span></p>
  411 +
  412 +<p><b><span lang=EN-US style='font-family:"Times New Roman","serif"'>INFRINGEMENT
  413 +</span></b></p>
  414 +
  415 +<p><span lang=EN-US style='font-family:"Times New Roman","serif"'>During any
  416 +term of this Agreement, if any portion of the Software is held by a court of
  417 +competent jurisdiction to infringe any third party intellectual property rights
  418 +and the Company incurs a liability or expense as a result of such holding, then
  419 +the Company’s sole remedy shall be, and KT will, at its option: (i) obtain the
  420 +right for the Company to continue to use the Software consistent with this
  421 +Agreement; (ii) modify the Software so that it is non-infringing; or (iii)
  422 +replace the infringing component with a non-infringing component, or (iv) refund
  423 +all money paid in the then-current calendar quarter under this Agreement and
  424 +all of the Company’s rights and licenses under this Agreement shall
  425 +automatically terminate. </span></p>

  471 +user of the Software should KT so desire, such as on the KT website, in press
  472 +releases and in other marketing materials. </span></p>
